The My Starbucks Rewards Program Terms and Conditions (Effective from February 28, 2017)

These terms and conditions, including the Terms of Use and Privacy Policy referred to below, govern the My Starbucks Rewards program in China and constitute a legal agreement between you and the Starbucks affiliate, franchisee or licensee that operates the store or channel where your MSR Card was purchased (“Starbucks”). Capitalized terms used in these terms and conditions (and not otherwise defined herein) will have the meanings set forth in the “Definitions” section below.

You affirm, represent and warrant that you are at least 18 years of age (or if you are less than 18 years of age, you have your parents’ or legal guardian’s consent), and are fully able and competent to enter into these terms and conditions and to abide by and comply with them. You agree to provide complete and accurate information as requested by Starbucks, such as when creating your MSR Account with Starbucks, including your real name, email address, mailing address and telephone number. You also agree to maintain and promptly update your MSR Account information to keep it accurate, current and complete.

The Terms of Use for starbucks.com.cn and the Starbucks mobile application and Privacy Policy also govern the My Starbucks Rewards program. In construing the Terms of Use and the Privacy Policy as they apply to the My Starbucks Rewards program, the term “Starbucks” shall have the meaning given above rather than in the Terms of Use or the Privacy Policy. These terms and conditions, the Terms of Use and the Privacy Policy are intended to constitute a consistent and integrated agreement but, to the extent of any conflicts between these terms and conditions and the Terms of Use or the Privacy Policy, these terms and conditions shall prevail. These terms and conditions, and the above Terms of Use and the Privacy Policy, are collectively referred to herein as the “terms and conditions.” These terms and conditions are written in Chinese. The English version is for reference only and does not have any legal effect.

Program Overview

You may purchase an MSR Card at participating Starbucks stores or from other channels as designated by Starbucks. The prices of the MSR Cards may vary based on card types. The actual retail price is subject to the prices indicated by the Starbucks stores or channels selling MSR Cards. Except certain special types of cards, as you paid the purchase price for the card, you will receive an MSR Card (not applicable to virtual MSR Cards) and enjoy the benefits of the Welcome Level as described below (i.e., corresponding e-coupons). If you have not created your MSR Account, then, to use your MSR Card, you must, within 60 days after the MSR Card was purchased, establish an MSR Account on www.starbucks.com.cn/en/rewards or through the Starbucks mobile application, by inputting the 16-digit MSR Card number and 8-digit password (remove the coating to get the password) (not applicable to virtual MSR Cards), creating your own MSR Account PIN and otherwise following the account-creation instructions given as that website or the mobile application. This will create your MSR Account and register your MSR Card under that account. Additionally, Starbucks may launch new products or promotion events from time to time through which you may create your MSR Account. The MSR Account created through such products or events are governed by these terms and conditions and the relevant special regulations formulated by Starbucks. To the extent of any conflicts between these terms and conditions and the special regulations, the special regulations shall prevail. Any unaddressed matters under the special regulations are subject to the relevant provisions of these terms and conditions. You may purchase additional MSR Cards. Each MSR Card purchased can be used to create an MSR Account. Alternatively, if you already have an MSR Account, you may add the newly purchased MSR Card(s) to your existing MSR Account, under which circumstance the benefits of the Welcome Level under the newly purchased MSR Card(s) will be incorporated into your existing MSR Account.

Please note that you must use your MSR Card within 60 days of its purchase (or the redemption where your MSR Card is redeemed via an MSR Card redemption e-coupon) to create an MSR Account or to add it to your existing MSR Account; otherwise you will not be able to use or register the MSR Card. If you intend to request a refund, please refer to the Refund section below. If you remove all MSR Cards from your MSR Account, your MSR Account will be terminated.

If there are multiple MSR Cards under your MSR Account, you are entitled to select only one MSR Card at one time as the Live Card to be used normally. The other MSR Cards under your MSR Account will automatically become Dormant Cards and cannot be used. You may log into your MSR Account to change your selection of which MSR Card will be the Live Card. However, your instruction to change may not be effective immediately as the system requires processing time.

Each time you access your MSR Account, you will be required to input your MSR Account PIN. You may also choose, at your own discretion, the “keep me signed in” function (if any), to avoid repeated logins during a certain period of time. However, you are solely responsible for the activity that occurs on your MSR Account, and you must keep your MSR Account PIN code for security.

After you create an MSR Account, each time you present the Live Card registered under that MSR Account when making a Purchase at a participating Starbucks store, the total amount of the Purchase will be recorded in that MSR Account. For every 50RMB of Purchases recorded in your MSR Account, one complimentary “Star” will be recorded in that MSR Account. However, Starbucks reserves the right to remove Stars from your MSR Account if the Purchase that resulted in the Stars is reversed for any reason, such as because of a dispute or a return of the Purchased product.

As described in detail below, based on the number of Stars that you have in your MSR Account and the level of your membership, you will have the opportunity to receive e-coupons for in-store benefits. E-coupons will be automatically recorded in your MSR Account as you receive them and will be automatically deducted from your MSR Account once the related benefits have been used. Typically, e-coupons will be recorded in your MSR Account within 24 hours after the Purchase resulting in the e-coupon. You may use only one e-coupon per purchase. For example, you may not use both a Free Size Upgrade e-coupon and a Buy-One Get One Free e-coupon on a single purchase.

You must present your Live Card to the Starbucks barista at a participating Starbucks store to receive Stars or to use e-coupons. To protect your rights and interests, you should take due care of the card number and the password of your MSR Card and should not disclose such information to a third party. You should not sell, assign as a gift or rent out your MSR Card to a third party. All Stars resulting from uses of your Live Card will be recorded on your MSR Account regardless of whether you are the person using the Live Card. Similarly, all e-coupons used through presentation of your Live Card will be deducted from your MSR Account regardless of whether you are the one using the Live Card.

Stars in your MSR Account have no cash value and will expire and be removed from your MSR Account on each Account Anniversary.

Except for the Birthday and Account Anniversary benefits described below or as otherwise provided in connection with a particular e-coupon, the e-coupons in your MSR Account expire 90 days after they were recorded in your MSR Account.

Welcome Level

You will enter the “Welcome Level” when you set up your MSR Account, which entitles you to receive:

• Buy One Beverage Get One Free: Three e-coupons each of which allows you to get one Handcrafted beverage free for each Handcrafted beverage you Purchase. The complimentary beverage must be of the same or lower price as the beverage you purchased.

• Free Morning Beverage: One e-coupon valid for a complimentary Tall-Size Beverage when used after the store opening and before 11 am.

• Free Size Upgrade: One e-coupon valid for a complimentary size upgrade of one Handcrafted Beverage from Tall (12 ounce) to Grande (16 ounce) or from Grande (16 ounce) to Venti (20 ounce).

You will receive the “Welcome Level” benefits when you create a new MSR Account or add a newly purchased MSR Card to your existing MSR Account, but each MSR Card you purchase entitles you to the “Welcome Level” benefits only once.

Green Level

When you have five Stars in your MSR Account, you will have a complimentary upgrade from the Welcome Level to the “Green Level” with the following benefits:

• Birthday Beverage: One e-coupon valid for a complimentary Tall-Size Beverage for your next birthday. Your e-coupon will be recorded in your MSR Account, will be effective on the first day of your birthday month and will expire on the last day of your birthday month.

• Buy Three Beverages Get One Free: One e-coupon valid for a complimentary Tall-Size Beverage for every three Handcrafted beverages bought in a single Purchase. However, if you receive a complimentary drink and additionally pay for customization service (such as a size upgrade or an extra shot of espresso, etc.), such payment does not constitute a purchase of a Handcrafted beverage, i.e., any beverages you may receive from additional purchases of customization service relating to any complimentary drink will not be counted as a purchase of a Handcrafted beverage.

If you reach Green Level but do not have at least 25 Stars in your MSR Account by the first Account Anniversary thereafter, you will revert to Welcome Level. This same process will apply for the 12-month period ending on each Account Anniversary.

Gold Level

When you have 25 Stars in your MSR Account, you have a complimentary upgrade to the “Gold Level” with the following benefits:

• The opportunity to continue to receive Green Level benefits.

• A specially-designed Gold Level MSR Card. When you become a Gold Level member for the first time, a specially-designed Gold Level MSR card will be sent to you at the mailing address listed on your MSR Account.

• An Account Anniversary Beverage: One e-coupon valid for a complimentary Tall-Size Beverage for each Account Anniversary. Your e-coupon will be recorded in your MSR Account on the first day of the calendar month when an Account Anniversary occurs and will expire on the last day of that calendar month.

• For Every 10 Purchases Get One Complimentary Beverage: One e-coupon after every 10 Purchases valid for a complimentary Tall-Size Beverage.

Once you become a Gold Level member, you will maintain that status until the first Account Anniversary to occur that is at least 12 months after the date you become the Gold Level member. That Account Anniversary is referred to as the “Anniversary Review Date.” The expiration of the Stars in your MSR Account before the Anniversary Review Date will not affect the continuation of your Gold Level status, but the removal of Stars because of a Star Removal Event may cause you to be downgraded to the Welcome Level or Green Level, depending on the number of Stars remaining after the removal. “Star Removal Event” means the reversal of a Purchase because of a refund or credit arising from a return, dispute, correction or other adjustment, but only if the original Purchase had resulted in the recordation of a Star in the applicable MSR Account.

While in Gold Level status, if you receive at least 25 additional Stars during the 12-month period that ends on your first Anniversary Review Date, you will qualify to remain at the Gold Level for another 12 months following that Anniversary Review Date. However, if you do not receive at least 25 additional Stars during the 12-month period that ends on your first Anniversary Review Date, you will lose Gold Level status at the end of that period and will revert to Welcome Level status. The same process of continuing Gold Level status or reverting to Welcome Level status will occur on each successive Anniversary Review Date based on the number of Stars recorded in your MSR Account during the 12-month period that ends on that Anniversary Review Date.

After you become a Gold Level member, if there are multiple MSR Cards under your MSR Account, then the specially-designed Gold Level MSR Card will automatically become the Live Card once you use it upon your receipt. Meanwhile, other MSR Cards under your MSR Account will become Dormant Cards and cannot be used. You may log into your MSR Account to change the selection of the Live Card. However, your instruction to change may not be effective immediately as the system requires processing time.

Refund

You may request a refund only as stated in this “Refund” section or the “Termination” section below.

Unless otherwise provided for some special cards, if you do not use the MSR Card you purchase to create an MSR Account or add to your existing MSR Account, you may request a refund of the purchase price of your MSR Card within 1 year from the date of purchase (or the date of redemption where your MSR Card is redeemed via a redemption e-coupon).

Unless otherwise provided for some special cards, for any MSR Card you purchase at the Starbucks Tmall official flagship store on starbucks.tmall.com, if you have not used any MSR membership benefits (including, without limitation, any Welcome Level benefits, Green Level benefits, Gold Level benefits and/or any other benefits you may receive) within 7 days after you receive the physical MSR Card or you successfully complete the redemption of the virtual MSR Card, you may request a refund of the purchase price of the MSR Card. On the date when Starbucks successfully processes your refund request, the MSR Card will be removed from your MSR Account (if applicable), the Welcome Level benefits relating to the MSR Card (including three Buy One Beverage Get One Free e-coupons, one Free Morning Beverage e-coupon and one Free Size Upgrade e-coupon) will also be deleted. If there are multiple sets of Welcome Level benefits in your MSR Account, the set of Welcome Level benefits that will be the next to expire will be deleted. If the MSR Card is the card you used to create your MSR Account and no other MSR Cards have been added to this MSR Account, all Stars collected under the MSR Account will be reset to zero and the MSR Account will be terminated. If the removed MSR Card is a Live Card and there are multiple MSR Cards under your MSR Account, you may not continue to use the MSR Account unless you select a Dormant Card as the Live Card under your MSR Account.

To receive a refund, if the MSR Card was purchased at a Starbucks store, you must return your MSR Card, the original receipt or the tax invoice (if a tax invoice was issued) and the gifts you received with the purchase of the MSR Card (if any) to one of the participating Starbucks stores in the same city where the MSR Card was purchased; if the MSR Card was purchased from any of the other sales channels designated by Starbucks, you must return your MSR Card (not applicable to virtual MSR Cards), the original receipt or the tax invoice (if a tax invoice was issued) and the gifts you received with the purchase of the MSR Card (if any) to the specific sales channel designated by Starbucks. Cash refunds are allowed only for MSR Cards that are purchased with cash.

If you are qualified for a refund under this “Refund” section but request a refund for more than 10 MSR Cards in a single day, Starbucks may not be able to process the request in the store or through the specific sales channels designated by Starbucks and may require additional time to process the request.

Lost Cards

If your MSR Card is lost, stolen, or destroyed, you may log in your MSR Account to request a replacement card. Starbucks will not charge you an additional fee for your first replacement MSR Card. For your second or subsequent requests for a replacement MSR Card in any 12 month period, Starbucks will provide you with a replacement MSR Card for no additional fee but will deduct five Stars from your MSR Account for each replacement. If you have fewer than five Stars in your MSR Account, Starbucks will deduct the remaining Stars in your MSR Account (a removal of Stars for this reason will not result in a downgrade from your then-current level). If you have no remaining Stars in your MSR Account, you will not be able to request such replacement service during the current 12-month period. Those replacement MSR Cards will not necessarily be the same MSR Cards (such as in terms of the card type or design) as the MSR Card that were lost, stolen or destroyed. Also, Starbucks will not provide you with a replacement MSR Card if you have not used the MSR Card you wish to replace to create an MSR Account or added it to your existing MSR Account.

If the lost, stolen or destroyed MSR Card is a Live Card, and there are multiple MSR Cards under your MSR Account, in addition to requesting a replacement MSR Card as stipulated above, you may select any Dormant Card under your MSR Account as the Live Card so you can continuously use your MSR Account.

Modification

Starbucks will provide reasonable advance notice by sending an email to the email address listed on your MSR Account or posting a notice on www.starbucks.com.cn/en/rewards prior to modifying these terms and conditions, except when Starbucks is unable to provide advance notice in compliance with an applicable law, rule or regulation. The modified terms and conditions will take effect on the date stated in the notice. You shall review www.starbucks.com.cn regularly for any changes to these terms and conditions.

If you use your MSR Card on or after the effective date of the modification stated in the notice that Starbucks posts or sends by email, your first use of the MSR Card on or after that effective date will be your agreement to the modification. If you do not agree to a modification in such notice, you should use your e-coupons before the earlier of their expiration date or the effective date of the modification stated in the notice. Then you should stop using your MSR Card. Please note that you cannot enjoy the benefits of your e-coupons without using your MSR Card. Or, you may also apply to Starbucks to terminate your MSR Account and cancel all your associated MSR Cards before the effective date of the modification stated in the notice. For any Welcome Level e-coupons in your MSR Account that have not expired on the date of your application for termination, you may receive a corresponding coupon of the same kind. Since all benefits other than the Welcome Level benefits are complimentary, you will not be entitled to any refund or compensation in connection with any Stars or e-coupons (other than Welcome Level e-coupons before their expiration date).

Except as described in this “Modification” section, Starbucks undertakes no other obligations or responsibilities for the modification of the terms and conditions.

Termination

If Starbucks decides to terminate the My Starbucks Rewards program (either nationwide or in one or more markets within China) and/or these terms and conditions at any time at its discretion, Starbucks will provide reasonable advance notice by sending an email to the email address listed on your MSR Account or posting a notice on www.starbucks.com.cn/en/rewards terminating the My Starbucks Rewards program, except when Starbucks is unable to provide advance notice in compliance with any applicable law, rule or regulation. The My Starbucks Rewards program will terminate on the date as stated in the notice. You should review www.starbucks.com.cn regularly to see whether the My Starbucks Rewards program has been or will be terminated.

Starbucks may also terminate your MSR Account(s) and cancel your MSR Card(s) if you fail to comply with these terms and conditions or you use your MSR Card or MSR Account in a manner that violates any applicable law, rule or regulation.

If Starbucks terminates your MSR Account or the My Starbucks Rewards program, you will no longer have any Stars or e-coupons in your MSR Account or be able to use your MSR Card. Since all benefits other than the Welcome Level benefits are complimentary, you will not be entitled to any refund or compensation in connection with any Stars or e-coupons (other than Welcome Level e-coupons before their expiration date). If Starbucks terminates the My Starbucks Rewards program, you may receive a corresponding coupon of the same kind for any Welcome Level e-coupons in your MSR Account that have not expired on the effective date of the termination. Also, if Starbucks terminates your MSR Account because of your breach or violation of law, you will not be entitled to any refund in connection with any Welcome Level e-coupons then in your MSR Account.

Except as described in this “Termination” section, Starbucks undertakes no other obligations or responsibilities for the termination of the terms and conditions.

Consent to Communications

To ensure the proper operation of the My Starbucks Rewards program and protect your rights and benefits under your MSR Card and your MSR Account, Starbucks, its affiliates or vendors may from time to time send you MSR Communications. Note that, by clicking “Create My My Starbucks Rewards Account” below, you agree that Starbucks, its affiliates or vendors may from time to time send you MSR Communications. You will not be able to cancel your agreement to receive MSR Communications. If you do not wish to receive MSR Communications, you should not click “Create My My Starbucks Rewards Account.”

In addition to the MSR Communications, you are given the option to receive Other Communications. If you select the relevant box when you click “Create My My Starbucks Rewards Account”, you also agree to receive Other Communications. These Other Communications are optional and are not a necessary part of the My Starbucks Rewards program.

Governing Law and Dispute Resolution

These terms and conditions shall be governed by, and construed in accordance with, the laws of China. Any dispute, controversy or claim arising out of these terms and conditions or relating to the My Starbucks Rewards program, any MSR account or MSR Card shall be settled through friendly consultations between the parties to such dispute, controversy or claim. If no settlement can be reached through friendly consultation, such dispute, controversy or claim shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (Shanghai International Arbitration Center) for arbitration in accordance with its arbitration rules then in effect at the time of arbitration. The arbitral award shall be final and binding on the parties.

Rights among Starbucks Affiliates, Franchisees and Licensees

These terms and conditions define ownership, contractual and other rights as between you and Starbucks. These terms and conditions are not intended, and shall not be construed, to affect or govern such rights as among the respective Starbucks affiliates, franchisees and licensees.

Definitions

“Account Anniversary” means, for each MSR Account you create, each 12-month anniversary of when you created that MSR Account.

“China” means, for purposes of these terms and conditions, the People’s Republic of China, excluding Hong Kong, Macau and Taiwan.

“Dormant Card” means any MSR Card under your MSR Account other than the Live Card. “Dormant Card” does not include cancelled MSR Cards.

“Eligible Payment Methods” means cash, bank debit cards, bank credit cards, Starbucks Gift Cards and such other payment methods as Starbucks may designate from time to time as being eligible to result in the recording of purchases to MSR Accounts. “Eligible Payment Methods” do not include the following methods: (i) redemption of physical coupons, gift certificates or third party rewards points, (ii) in-kind exchanges, (iii) use of a credit issued to resolve a dispute or for any other reason, (iv) payments of purchase price made, not by yourself, to Starbucks but through cooperative events carried out by Starbucks and banks or Starbucks and other third party organizations (such as the “Buy One Get One Free” promotion events for credit cardholders), and (v) any other payment methods that Starbucks may designate from time to time as not being eligible to result in the recording of purchases to MSR Accounts.

“Excluded Items” means items the applicable Starbucks store designates as ineligible to be recorded in an MSR Account or the benefits associated with MSR Accounts. Such items include moon cakes, Starbucks Dragon Dumplings, coupons, gift certificates, Starbucks Gift Cards and other items that Starbucks may designate from time to time as being ineligible to result in the recording of purchases to MSR Accounts.

“Handcrafted” means made onsite by hand according to special recipes in the Starbucks store and does not include certain specific beverages (for example, Starbucks Reserve™ coffee selection, Starbucks Nitro Cold Brew coffee selection, and other beverages designated by Starbucks from time to time). Bottled water, juice, coffee and other bottled beverages sold at the Starbucks stores are not handcrafted beverages.

“Live Card” means (i) the sole MSR Card under your MSR Account; or (ii) if there are multiple MSR Cards under your MSR Account, the sole MSR Card you select as the Live Card to be used normally.

“MSR Account” means a My Starbucks Rewards Account.

“MSR Card” means a My Starbucks Rewards Card, including a physical MSR Card and a virtual MSR Card presented, not in physical form, but in electronic form (for example, barcode or two-dimensional code) through the Starbucks mobile application or other methods approved by Starbucks.

“MSR Communications” means the following communications by mail, e-mail, telephone, short message service, mobile application or others by Starbucks, its affiliates or vendors to ensure the proper operation of the My Starbucks Rewards program and protect your rights and benefits under your MSR Card and your MSR Account: (i) communications contemplated by the terms and conditions (including the benefits described above), including, without limitation, communications regarding the expiration of any Welcome Level, Green Level and/or Gold Level benefits, and communications regarding the modification of these terms and conditions, etc.; (ii) communications related to your MSR Card, MSR Account and/or the My Starbucks Rewards Program, including, without limitation, communications regarding any change of your My Starbucks Rewards program membership level and communications regarding upcoming reset of your Stars to zero, etc.; or (iii) communications exclusively targeted to all or some of the customers who have the MSR Accounts, including, without limitation, communications to help you reset your MSR Account password or report the missing of an MSR Card and/or request replacement of your MSR Card.

“Other Communications” means communications (other than MSR Communications) by mail, e-mail, telephone, short message service, mobile application or others by Starbucks, its affiliates, its vendors.

“Purchase” means a purchase of Starbucks goods (other than Excluded Items) in the amount of at least 1 Chinese Yuan using Eligible Payment Methods at participating Starbucks stores in China. The number of Purchases in any given transaction will be the number of receipts issued for that transaction by the Starbucks stores. In other words, multiple items included in a single receipt will be treated as a single “Purchase.” If you receive a beverage without using Eligible Payment Methods and you additionally pay for customization service (for example, when you obtain a drink by using your credit card rewards points and then you additionally pay for the customization service such as a size upgrade or an extra shot of espresso), only the payment for the customization service will be deemed as a “purchase”.

“Tall-Size Beverage” means a tall-size (12 ounce) standard (without customization) Handcrafted Starbucks beverage of your choice that is available in the store at the time of your order. “Tall-Size Beverage” does not include certain specific beverages, for example, Starbucks Reserve™ coffee selection, Starbucks Nitro Cold Brew coffee selection, and other beverages designated by Starbucks from time to time.

“Terms of Use and/or Privacy Policy” means those terms of use and/or privacy policy that govern starbucks.com.cn and the Starbucks mobile application.

Special Rules for the Applicable Scope of My Starbucks Rewards Program Benefits

All complimentary benefits given by or benefits obtained from My Starbucks Rewards program do not apply to certain designated beverages at Starbucks (i.e. the beverages that cannot be redeemed by using My Starbucks Rewards benefits as designated by Starbucks, including but not limited to Starbucks Reserve beverages). The special rules shall become effective and be implemented 45 days from the date of this announcement, May 25, 2015. If you do not accept the special rules, please redeem all available benefits in your My Starbucks Rewards account and also cancel and terminate your My Starbucks Rewards account before May 25, 2015. Otherwise, as of 00:00 of May 25, 2015, you shall be deemed to have agreed and accepted such changes. Except for the above, other terms and conditions of My Starbucks Rewards program remain unchanged.
