Starbucks Rewards Program Terms and Conditions

(Last amended on November 1, 2018 and effective as of December 5, 2018)

1.Overview

These Starbucks Rewards Program Terms and Conditions (including all appendixes herein, collectively these “Terms and Conditions”) govern the Starbucks Rewards Program carried out and operated by Starbucks China Company Limited and its affiliates (“Starbucks”) in mainland China (“Starbucks Rewards Program”), and constitute a legally binding agreement between members of Starbucks Rewards Program (a “Member” or “you”) and Starbucks.

Unless otherwise expressly stipulated in these Terms and Conditions, some terms used in these Terms and Conditions have the meanings set forth in Appendix I (Definitions).

2.Terms of Use for Starbucks China Websites; Terms of Use for Starbucks Mobile Application; and Privacy Policy

The Terms of Use for Starbucks China Websites, the Terms of Use for Starbucks Mobile Application (collectively, “Terms of Use”) and the Privacy Policy (“Privacy Policy”) also govern the Starbucks Rewards Program, and constitute an integral part of these Terms and Conditions.

If there is any inconsistency between these Terms and Conditions and the Terms of Use or Privacy Policy, these Terms and Conditions shall prevail. Any unaddressed matters under these Terms and Conditions are subject to the Terms of Use and Privacy Policy. Unless otherwise stipulated in these Terms and Conditions, any references to these “Terms and Conditions” below shall be deemed to include the Terms of Use and Privacy Policy.

3.Consent

Before registering your Starbucks Rewards Account, please carefully read and fully understand these Terms and Conditions, especially the bolded and underlined provisions.

During the process of registering your Starbucks Rewards Account, when you click the button on the relevant page or use any other method acceptable to Starbucks to confirm your registration of your Starbucks Rewards Account or participation in the Starbucks Rewards Program, it will be deemed that you agree to these Terms and Conditions. If you do not agree to these Terms and Conditions or any parts hereof, please do not register your Starbucks Rewards Account or join the Starbucks Rewards Program and immediately close the relevant windows.

4.Minors

You affirm, represent and warrant that you are at least 18 years of age (or you are less than 18 years of age, but you have obtained your parents or legal guardian’s consent), and are fully capable of understanding, entering into and complying with these Terms and Conditions.

5.Registration and Use of a Starbucks Rewards Account

5.1 Registration of a Starbucks Rewards Account

You may register your Starbucks Rewards Account and create your account password through Starbucks App (as defined in Appendix I) or through a channel owned/operated by a third-party partner (“Partner”) as designated by Starbucks.

If you have an MSR Card (as defined in Appendix I), within 60 days of your purchase, you may use the MSR Card to register your Starbucks Rewards Account and create your password on Starbucks China Official Website (as defined in Appendix I).

Besides, you may register your Starbucks Rewards Account via other products or promotions that Starbucks may launch from time to time.

You will become a Member on the date when you successfully register a Starbucks Rewards Account (“Account Registration Date”).

5.2 Provision of Personal Information

When registering a Starbucks Rewards Account, you agree to provide us with accurate and complete information necessary for your Starbucks Rewards Account registration (under the circumstances that you register the Starbucks Rewards Account through Starbucks App or Starbucks China Official Website), or you agree that we can receive such information from the Partner (under the circumstance that you register a Starbucks Rewards Account by using an account that you have already registered with such Partner and the information under that account), by following the Privacy Policy. You agree to maintain and update your information in a timely manner, and ensure that the information is accurate, up-to-date and complete.

5.3 Use of a Starbucks Rewards Account

You may use your Starbucks Rewards Account through Starbucks App, Starbucks China Official Website, or a channel owned/operated by a Partner. The functions of the Starbucks Rewards Account that are available through the above channels are subject to the actual functions that are open at the time.

5.4 Security of a Starbucks Rewards Account

After you register your Starbucks Rewards Account, you need to keep your account information secure. You may not sell, transfer or lend your Starbucks Rewards Account to a third person, nor may you share any account information with a third person. You are responsible for all actions and activities that occur to your Starbucks Rewards Account.

6.Rules for Star Calculation and Accumulation

6.1 Star Categories

Subject to the satisfaction of certain pre-conditions under these Terms and Conditions, you may accumulate reward points in your Starbucks Rewards Account (“Stars”).

Stars include Tier Stars and Reward Stars. “Tier Stars” means the reward points that are used to determine a Member’s membership level; “Reward Stars” means the reward points which only Gold Level Members could accumulate in their Starbucks Rewards Accounts and that can be used to redeem Tall Handcrafted Beverages (as defined in Appendix I), Designated Foods (as defined in Appendix I), or other products (if any) as might be designated by Starbucks.

Unless otherwise stipulated in these Terms and Conditions, the Stars accumulated in your Starbucks Rewards Account are not redeemable for cash, have no cash value, cannot be transferred, and cannot be used for any purposes other than those expressly stipulated in these Terms and Conditions.

6.2 Star Calculation and Recording

After your Starbucks Rewards Account is registered, each time when you Purchase (as defined in Appendix I) products at a participating Starbucks store, through Starbucks App and through other channels Starbucks may designate from time to time (if any), if you present the dynamic QR code of your Starbucks Rewards Account, the Live Card (as defined in Appendix I) or the Starbucks Gift Card (as defined in Appendix I) associated/bundled in your Starbucks Rewards Account, or through other ways Starbucks may designate from time to time (if any), based on your membership level and the RMB amount you pay through the Eligible Payment Methods (as defined in Appendix I), Starbucks would calculate and record into your Starbucks Rewards Account within 24 hours the corresponding Tier Stars and Reward Stars (if you are a Gold Level Member at the time of the Purchase) in accordance with the following methods:

(1) When you bundle a Starbucks Gift Card into your Starbucks Rewards Account, and pay by scanning the dynamic QR Code of the Starbucks Gift Card through Starbucks App (for detailed information, please see the Special Provisions for the Use of Starbucks Gift Cards) (“Starbucks Gift Card Mobile Pay”):

the amount you paid divided by 40 and rounded to the fourth decimal place is the number of Tier Stars and Reward Stars (if you are a Gold Level Member at the time) that can be recorded into your account; or

(2) When you use other Eligible Payment Methods:

the amount you paid divided by 50 and rounded to the fourth decimal place is the number of Tier Stars and Reward Stars (if you are a Gold Level Member at the time) that can be recorded into your account.

If you simultaneously pay via the Starbucks Gift Card Mobile Pay and other Eligible Payment Methods in a single Purchase, based on the amount you pay through the Starbucks Gift Card Mobile Pay and other Eligible Payment Methods, we will separately calculate the number of Tier Stars and Reward Stars (if you are a Gold Level Member at the time) and record the number into your Starbucks Rewards Account.

For example, if a Green Level Member Purchases a mug in a price of RMB130 at a Starbucks store, among which RMB 30 is paid by the Starbucks Gift Card Mobile Pay, RMB 50 by cash, and RMB 50 by a bank card, then 0.75 Tier Stars can be earned and recorded into his/her Starbucks Rewards Account through the Starbucks Gift Card Mobile Pay and 2 Tier Stars through other Eligible Payment Methods. 2.75 Stars in total can be recorded into his/her Starbucks Rewards Account as a result of the Purchase.

6.3 Tier Star Accumulation

Members may, pursuant to Section 6.2 above, accumulate Tier Stars in a Starbucks Rewards Account. The total number of Tier Stars accumulated in your Starbucks Rewards Account is the aggregate number of Tier Stars recorded from previous Purchases. Pursuant to these Terms and Conditions, Tier Stars will be reset to zero upon expiry or be removed due to a Purchase Cancellation (as defined in Article 10).

6.4 Reward Star Accumulation

After you are upgraded to the Gold Level, each time when you make a Purchase, simultaneously with Tier Stars being recorded into your Starbucks Rewards Account, the same number of Reward Stars will also be earned and recorded into your Starbucks Rewards Account pursuant to Section 6.2 above. The total number of Reward Stars accumulated in your Starbucks Rewards Account is the aggregate number of Reward Stars recorded from previous Purchases. Pursuant to these Terms and Conditions, Reward Stars will be removed after being used to redeem specific products, be reset to zero upon expiry or be removed due to a Purchase Cancellation.

6.5 Bonus Stars

Starbucks may launch some promotions from time to time, in which, a certain number of complimentary Tier Stars and/or Reward Stars (“Bonus Stars”) may be recorded into your Starbucks Rewards Account by Starbucks. Starbucks may decide in what activities complimentary Bonus Stars are granted, and the category and number of such complimentary Bonus Stars.

6.6 Star Review

You may review the category and number of Stars recorded and accumulated in your Starbucks Rewards Account through Starbucks App, Starbucks China Official Website or a channel owned/operated by a Partner.

7. Membership Level and Members’ Rights and Benefits

7.1 Welcome Level Members

(1) Being a Welcome Level Member

You will be a Welcome Level Member starting from the Account Registration Date.

(2) Tier Stars’ Validity Period for a Welcome Level Member

Unless otherwise stipulated in these Terms and Conditions, a Welcome Level Member will accumulate Tier Stars in his/her Starbucks Rewards Account in every three consecutive Calendar Months (as defined in Appendix I) starting from the Account Registration Date, and the accumulated Tier Stars will be reset to zero on the next day when every three consecutive Calendar Months expire; however,

(a) if a Welcome Level Member has accumulated four Tier Stars in his/her account within three consecutive Calendar Months, the Member will be upgraded to the Green Level when the fourth Tier Star is recorded into his/her account; in the meantime, four Tier Stars will be removed, and the remainder of the Tier Stars (if any) will stay;

(b) where a Welcome Level Member is upgraded to the Green Level through a method stipulated in these Terms and Conditions, or through other methods as might be designated by Starbucks (if any), all of the Tier Stars accumulated in your Starbucks Rewards Account will be reset to zero when you are upgraded to the Green Level.

For example, Ms. Wang registers a Starbucks Rewards Account and becomes a Welcome Level Member on December 6, 2018. Assuming that she receives one Tier Star on December 7, 2018, January 6, 2019 and March 5, 2019, respectively, the three Tier Stars accumulated in her Starbucks Rewards Account will be reset to zero on March 5, 2019. Later, if Ms. Wang accumulates five Tier Stars on March 8, 2019, she will be upgraded to the Green Level on the same day. Four Tier Stars will be removed from her Starbucks Rewards Account, and the remaining one Tier Star will stay.

7.2 Green Level Members

(1) Being a Green Level Member

Under any one of the following circumstances, a Welcome Level Member may be upgraded to the Green Level:

(a) when the fourth Tier Star is recorded into a Welcome Level Member’s account within any three consecutive Calendar Months as stipulated in paragraph (a) of Section 7.1(2) above;

(b) when you bundle into your Starbucks Rewards Account a physical Starbucks Gift Card with a balance amount of no less than RMB 100; or

(c) when you purchase an electronic Starbucks Gift Card in your Starbucks Rewards Account through Starbucks App, or bundle an electronic Starbucks Gift Card into your Starbucks Rewards Account through a channel owned/operated by a Partner and the card has a balance amount of no less than RMB 100 (for details, please see the Special Provisions for the Use of Starbucks Gift Cards).

In addition to the foregoing methods, Starbucks may launch other products or promotions from time to time, through which, Welcome Level Members may be upgraded to the Green Level.

Unless otherwise stipulated in these Terms and Conditions, once you become a Green Level Member, you will not be downgraded to the Welcome Level in the existence of your Starbucks Rewards Account.

(2) Tier Stars’ Validity Period for a Green Level Member

Tier Stars accumulated in a Green Level Member’s Starbucks Rewards Account will stay in the account on the basis of an Account Year (as defined in Appendix I), and cannot be carried over to the next Account Year.

On each Account Anniversary Date (as defined in Appendix I) after you become a Green Level Member, the Tier Stars accumulated in your Starbucks Rewards Account will be reset to zero.

(3) Green Level Members’ Rewards

Green Level Members are entitled to certain Green Level member rewards pursuant to the provisions stipulated in Appendix II (*Member Rewards*).

7.3 Gold Level Members

(1) Being a Gold Level Member

If a Green Level Member has accumulated sixteen Tier Stars in his/her Starbucks Rewards Account in an Account Year, when the sixteenth Tier Star is recorded into the account, the Member will be upgraded from the Green Level to the Gold Level.

For avoidance of ambiguity, the reference to the “sixteen Tier Stars” as stated in this section and Section 7.3(2) below shall exclude the Tire Stars that might have been reset to zero within the same Account Year and the Tier Stars that have been removed from an account due to a Purchase Cancellation.

(2) Adjustment and Retention of Gold Level Membership

On each Account Anniversary Date after you become a Gold Level Member, Starbucks may retain or adjust your membership level pursuant to the following provisions:

(a) if no less than sixteen Tier Stars have accumulated in your Starbucks Rewards Account during the Account Year preceding to an Account Anniversary Date, you will stay at the Gold Level in the next Account Year; or

(b) if less than sixteen Tier Stars have accumulated in your Starbucks Rewards Account during the Account Year preceding to an Account Anniversary Date, you will be downgraded to the Green Level in the next Account Year.

(3) Stars’ Validity Period for a Green Level Member

(a) Tier Stars’ Validity Period

Tier Stars accumulated in a Gold Level Member’s Starbucks Rewards Account will stay in the account on the basis of an Account Year, and cannot be carried over to the next Account Year.

On each Account Anniversary Date, any Tier Stars accumulated in a Gold Level Member’s Starbucks Rewards Account will be reset to zero.

(b) Reward Stars’ Validity Period

Reward Stars will be valid from the date when they are recorded in your Starbucks Rewards Account and will expire and be removed on the last day of the same month in the next calendar year after the Reward Stars are recorded into your Starbucks Rewards Account; however, pursuant to paragraph (b) of Section 7.3(2) above, if you are downgraded to the Green Level on an Account Anniversary Date, the Reward Stars accumulated in your account will expire and be removed on the Account Anniversary Date. For example, assuming that Ms. Wang, Gold Level Member, accumulates a Reward Star on April 1, 2020, the Reward Star shall expire and be removed on April 30, 2021. However, if Ms. Wang is downgraded to the Green Level on March 9, 2021 (i.e., the Account Anniversary Date), the Reward Star recorded into her Starbucks Rewards Account on April 1, 2020 will expire and be removed on the Account Anniversary Date.

(4) Gold Level Members’ Rewards

Gold Level Members are entitled to certain Gold Level member rewards pursuant to the provisions stipulated in Appendix II (Member Rewards).

8. MSR Card

8.1 Bundling an MSR Card into an Existing Starbucks Rewards Account

If you have purchased an MSR Card, within 60 days of the purchase, you may use the MSR Card to register your Starbucks Rewards Account pursuant to Section 5.1 above, or bundle the MSR Card into your existing Starbucks Rewards Account through Starbucks China Official Website.

Please note that if you fail to register a Starbucks Rewards Account with the MSR Card, or bundle the card into your Starbucks Rewards Account within 60 days of the purchase, you will not be able to use the MSR Card; if you intend to request a refund, please refer to the provisions stipulated in Appendix III (MSR Cards) below.

8.2 MSR Card Welcome Rewards

When you use an MSR Card to create a Starbucks Rewards Account or bundle an MSR Card into your existing Starbucks Rewards Account, one set of MSR Card Welcome Rewards (including three Buy One Beverage Get One Free coupons, one Free Morning Beverage coupon and one Free Size Upgrade coupon, collectively, the “MSR Card Rewards”) will be added into your Starbucks Rewards Account. Please refer to Appendix III (MSR Cards) for the validity period and the use terms and restrictions that are applicable to the MSR Card Rewards.

8.3 Live Cards

If there are multiple MSR Cards under your Starbucks Rewards Account, you are entitled to select only one MSR Card at one time as the Live Card. The other MSR Cards under your Starbucks Rewards Account will automatically become Dormant Cards (as defined in Appendix I) and cannot be used. You may log into your Starbucks Rewards Account to change your selection of which MSR Card will be the Live Card. Your instruction to change will be effective within 24 hours.

8.4 Loss Report and Replacement Request of MSR Cards

If your MSR Card is lost, stolen or destroyed, you may report the loss and/or request a replacement of your MSR Card pursuant to the provisions stipulated in Appendix III (MSR Cards).

9. Use Terms and Restrictions Applicable to Member Rewards

9.1 Unless otherwise stipulated in these Terms and Conditions, the “Member Rewards” referred hereinafter includes any Welcome Level member rewards, Green Level member rewards, and Gold Level member rewards stipulated in Article 7 of these Terms and Conditions, the MSR Card Rewards stipulated in Article 8 and/or other rewards you may receive as a Member.

9.2 To use your Member Rewards in your Starbucks Rewards Account, you need to present the QR code of your Starbucks Rewards Account, Live Card or Starbucks Gift Card associated/bundled in your Starbucks Rewards Account, or through other ways as may be designated by Starbucks from time to time (if any) at participating Starbucks stores or through other channels designated by Starbucks from time to time (if any).

9.3 Unless otherwise as stipulated by Starbucks, Member Rewards cannot be redeemed at the Starbucks Reserve Roastery in Shanghai, Starbucks Reserve Beijing Fun Store and some other stores as may be designated by Starbucks from time to time (“Excluded Stores”).

9.4 Once a Member Reward is used or redeemed, the relevant coupon or reward will automatically be removed from your Starbucks Rewards Account.

9.5 Upon the validity period of a Member Reward expires, the relevant coupon or reward will be removed from your Starbucks Rewards Account, and you could not get refund or compensation for such expired coupon or reward.

9.6 When a Member obtains a product by using or redeeming a Member Reward, he/she cannot redeem another Member Reward and apply that reward on this particular product at the same time. For example, when a Gold Level Member, Ms. Wang, redeems nine Reward Stars in her Starbucks Rewards Account for a Tall Handcrafted Beverage, she cannot redeem a Free Size Upgrade coupon to upgrade this beverage at the same time.

A member may only redeem one Member Reward on a single product. For example, when a Member, Ms. Wang, Purchases a Tall Handcrafted Beverage, she cannot use or redeem a Free Size Upgrade coupon and a Buy One Beverage Get One Free coupon at the same time.

9.7 In addition to the Member Rewards stipulated in these Terms and Conditions, Starbucks may launch other promotions from time to time, through which, Members may receive extra rewards.

10. Purchase Cancellation

10.1 If a Purchase is cancelled because you return a product, a dispute arises, or Starbucks corrects a mistake (a “Purchase Cancellation”), and

(1) if you paid the price of the returned product in cash, Starbucks will refund in cash or through wire transfer;

(2) if you paid the price of the returned product via other Eligible Payment Methods, Starbucks will usually refund via the same method or through the same route as you paid; however, if laws and regulations, Starbucks or the relevant payment service providers have different requirements on the refund methods or routes, such requirements shall apply.

10.2 When a Purchase Cancellation occurs, Starbucks will adjust your membership level, Stars and/or Member Rewards pursuant to the provisions stipulated in Appendix IV (The Impacts on the Membership Level, Stars and Member Rewards due to a Purchase Cancellation).

11. Consent to Communications

11.1 Starbucks Rewards Communications

To ensure the proper operation of the Starbucks Rewards Program and protect your rights and benefits under your Starbucks Rewards Account, Starbucks or its vendors may, from time to time, send you Starbucks Rewards Communications (as defined in Appendix I). Please note that when you register your Starbucks Rewards Account or join the Starbucks Rewards Program, you also agree that Starbucks or its vendors may, from time to time, send you Starbucks Rewards Communications. You will not be able to cancel your agreement to receive Starbucks Rewards Communications. If you do not wish to receive Starbucks Rewards Communications, please do not register your Starbucks Rewards Account or join the Starbucks Rewards Program.

11.2 Other Communications

In addition to the Starbucks Rewards Communications, you may choose whether or not to receive Other Communications (as defined in Appendix I) through Starbucks China Official Website or Starbucks App. These Other Communications are optional and are not a necessary part of the Starbucks Rewards Program.

12. Termination of a Starbucks Rewards Account

12.1 Termination by Members

You may apply to de-register your Starbucks Rewards Account. When we accept your de-registration application, your Starbucks Rewards Account will be terminated.

12.2 Termination by Starbucks

If you fail to comply with these Terms and Conditions, or you use your Starbucks Rewards Account in violation of any applicable laws or regulations, Starbucks may terminate your Starbucks Rewards Account immediately.

12.3 Consequences of the Termination

When your Starbucks Rewards Account is terminated, the Stars and Member Rewards accumulated in your Starbucks Rewards Account will be removed. The MSR Cards and Starbucks Gift Cards registered in your Starbucks Rewards Account will also be removed at the same time. To the extent as permitted by the applicable laws and regulations, you will not be able to get any refund or compensation for such removed Stars or Member Rewards.

13. Amendments to These Terms and Conditions

13.1 Starbucks may amend these Terms and Conditions from time to time. Under such circumstance, Starbucks will notify you in advance via email or publish the amended terms and conditions on Starbucks China Official Website, except when Starbucks is unable to do so pursuant to the applicable laws or regulations. The amended terms and conditions will take effect on the effective date set forth therein. You should regularly check Starbucks China Official Website for the amendments to the terms and conditions.

13.2 If you use your Starbucks Rewards Account on or after the effective date set forth in the amended terms and condition, you are hereby deemed to have agreed to and accepted the amended terms and conditions.

13.3 If you do not agree to the amended terms and conditions, you must use or redeem your Member Rewards before the earlier of (i) the expiration date of your Member Rewards or (ii) the effective date of the amended terms and conditions. Then, you should stop using your Starbucks Rewards Account. Alternatively, you may apply to Starbucks to terminate your Starbucks Rewards Account pursuant to Article 12 stipulated above before the amended terms and conditions take effect.

14. Termination of the Starbucks Rewards Program

14.1 Starbucks may decide to terminate the Starbucks Rewards Program at any time (either nationwide or in one or more markets in mainland China). If Starbucks decides to terminate the Starbucks Rewards Program, Starbucks will notify you in advance via email or make an announcement on Starbucks China Official Website, except when Starbucks is unable to do so pursuant to any applicable laws or regulations. The Starbucks Rewards Program will terminate on the date as stated in the notice or announcement. You should regularly check Starbucks China Official Website to see whether the Starbucks Rewards Program has been or will be terminated.

14.2 If Starbucks terminates the Starbucks Rewards Program, your Starbucks Rewards Account will also be terminated simultaneously. The Stars and Member Rewards accumulated in your Starbucks Rewards Account will be removed, and the MSR Cards and Starbucks Gift Cards registered in your Starbucks Rewards Account will also be removed. To the extent as permitted by the applicable laws and regulations, you will not be able to receive any refund or compensation for such removed Stars or Member Rewards.

14.3 Except as stipulated in this article, Starbucks does not take any other obligation or responsibility for the termination of the Starbucks Rewards Program.

15. Governing Law

These Terms and Conditions are governed by and shall be interpreted in accordance with law of the People’s Republic of China.

16. Dispute Resolution

Any dispute, controversy or claim arising out of these Terms and Conditions or relating to the Starbucks Rewards Program, a Starbucks Rewards Account or an MSR Card shall be settled through friendly consultations between the parties to such dispute, controversy or claim. If no settlement can be reached through friendly consultation, such dispute, controversy or claim shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (Shanghai International Arbitration Center) for arbitration in accordance with its arbitration rules then in effect at the time of arbitration. The arbitral award shall be final and binding on the parties.

17. Miscellaneous

17.1 These Terms and Conditions are written in Chinese; the English translation is for reference only and does not have any legal effect.

17.2 The Specials Provisions for Registering a Starbucks Rewards Account with a Starbucks Gift Card and the Special Provisions for the Starbucks “Say It With Starbucks” Social Gifting Platform shall be terminated on the date when these Terms and Conditions take effect.


Appendix I
Definitions


Unless otherwise defined in these Terms and Conditions, the following capitalized terms used in these Terms and Conditions shall have the meanings set forth in Appendix I. The defined terms are set out in an alphabetical sequence according to their pinyin characters:

B: 1. “Terms and Conditions” has the meaning set forth in Article 1 of these Terms and Conditions.
2. “Excluded Stores” has the meaning set forth in Section 9.3 of these Terms and Conditions.
D: 3. “Tier Stars” has the meaning set forth in Section 6.1 of these Terms and Conditions.
G: 4. “Purchase” means a purchase of Starbucks products (excluding the Excluded Items), by using Eligible Payment Methods, at participating Starbucks stores in mainland China or through other ways that Starbucks may designate from time to time (if any). If you receive a product without using Eligible Payment Methods and you purchase other products (for example, when you receive a beverage by using your credit card reward points and at the same time purchase an extra expresso shot or a size upgrade), only the extra purchase will be deemed as a “Purchase.”
5. “Purchase Cancellation” has the meaning set forth in Section 10.1 of these Terms and Conditions.
H: 6. “Reward Star” has the meaning set forth in Section 6.1 of these Terms and Conditions.
7. “Partner” has the meaning set forth in Section 5.1 of these Terms and Conditions.
8. “Member” has the meaning set forth in Article 1 of these Terms and Conditions.
9. “Member Rewards” has the meaning set forth in Section 9.1 of these Terms and Conditions.
10. “Live Card” means (1) the only one MSR Card in your Starbucks Rewards Account; or (2) if there are multiple MSR Cards in your Starbucks Rewards Account, the particular MSR Card you select as the Live Card for normal use.
J: 11. “Bonus Star” has the meaning set forth in Section 6.5 of these Terms and Conditions.
12. “Gold Level’s Electronic Starbucks Gift Card” means the electronic Starbucks Gift Cards which are specially granted to the Gold Level Members.
L: 13. “Excluded Items” means (1) any Starbuck products which are sold by the Starbucks stores or channels that are not participating in the Starbucks Rewards Program; and (2) the products Starbucks designates as ineligible to be recorded in a Starbucks Rewards Account to receive Stars or generate Member Rewards, including, without limitation, the purchase amounts and reloaded amounts for a Starbucks Gift Card, Starbucks moon cakes and Starbucks dragon dumplings obtained through redemption of coupons or vouchers, gift certificates and other products that Starbucks may designate from time to time as being ineligible to record into Starbucks Rewards Accounts.
N: 14. “You” has the meaning set forth in Article 1 of these Terms and Conditions.
Q: 15. “Other Communications” means communications, other than Starbucks Rewards Communications, sent via mail, e-mail, telephone, text message or other methods by Starbucks or its vendors.
R: 16. “Calendar Month” means a period from a specific day in one month to the day prior to the same specific day in the following month. For example, the period from December 6, 2018, to January 5, 2019, is a calendar month. If the specific day does not exist in the following month, then the Calendar Month ends on the last day of the following month. For example, the period from January 31, 2019, to February 28, 2019, is a calendar month.
S: 17. “Terms of Use” has the meaning set forth in Article 2 of these Terms and Conditions.
18. “Handcrafted Beverage” means a beverage made onsite by hand according to special recipes in the Starbucks store and does not include certain specific beverages (for example, Starbucks Reserve™ coffee products, Starbucks nitro cold brew coffee products, Starbucks coffee plus ice cream products and other beverages designated by Starbucks from time to time). For avoidance of ambiguity, bottled water, juice, coffee and other bottled beverages sold at the Starbucks stores are not handcrafted beverages.
X: 19. “Starbucks” has the meaning set forth in Article 1 of these Terms and Conditions.
20. “Starbucks App” means the mobile applications (including the iOS and Android versions) operated and managed by Starbucks in mainland China.
21. “Starbucks China Official Website” means Starbucks China official website at www.starbucks.com.cn.
22. “Starbucks Tmall Store” means Starbucks Official Tmall Store (starbucks.tmall.com).
23. “Starbucks Gift Card” means a single-purpose commercial prepaid card issued in mainland China by Starbucks (Shanghai) Trade Company Limited pursuant to the Rules for Starbucks Single-Purpose Commercial Prepaid Card promulgated by the company.
24. “Starbucks Gift Card Mobile Pay” has the meaning set forth in Section 6.2(1) of these Terms and Conditions.
25. “Starbucks Rewards Communications” means the following communications sent via mail, e-mail, telephone, text message, mobile application or other methods by Starbucks or its vendors to ensure the proper operation of the Starbucks Rewards Program and to protect your rights and benefits under your Starbucks Rewards Account: (1) communications contemplated by these Terms and Conditions (including the Member Rewards), including, without limitation, communications regarding the expiration of the Member Rewards and communications regarding the amendments to these Terms and Conditions, etc.; (2) communications related to your Starbucks Rewards Account and/or the Starbucks Rewards Program, including, without limitation, communications regarding any changes of your membership level and communications regarding upcoming reset of your Stars, etc.; or (3) communications exclusively targeted to all or some of the customers who have the Starbucks Rewards Accounts, including, without limitation, communications to help you reset your Starbucks Rewards Account password or report loss, etc.
26. “MSR Card” includes (1) a physical MSR Card, and (2) a virtual MSR Card presented, not in physical form but in electronic form (for example, barcode or QR code) through the Starbucks App or other methods approved by Starbucks.
27. “MSR Card Reward” has the meaning set forth in Section 8.2 of these Terms and Conditions.
28. “Star” has the meaning set forth in Section 6.1 of these Terms and Conditions.
29. “Dormant Card” means any MSR Card under your Starbucks Rewards Account other than the Live Card. “Dormant Card” does not include cancelled MSR Cards.
Y: 30. “Privacy Policy” has the meaning set forth in Article 2 of these Terms and Conditions.
31. “Eligible Payment Methods” means cash, debit cards, credit cards, Starbucks Gift Cards and such other payment methods as Starbucks may designate from time to time as being eligible to record purchases into Starbucks Rewards Accounts. “Eligible Payment Methods” do not include the following methods: (1) use of physical coupons, employee coupons or gift certificates, (2) in-kind exchanges, (3) use of a credit issued by Starbucks to resolve a dispute or for any other reason, (4) payment of purchase price made to Starbucks, not by yourself but through cooperative events (such as the “Buy One Get One Free” promotions and reward points for credit cardholders) carried out by Starbucks and banks (or other third-party organizations), and (5) any other payment method that Starbucks may designate from time to time as not being eligible to result in the recording of purchases to Starbucks Rewards Accounts.
Z: 32. “Account Year,” with respect to your Starbucks Rewards Account, means a period of twelve consecutive Calendar Months starting from (1) the date when you are upgraded to the Green Level, or directly from the Welcome Level to the Gold Level, according to these Terms and Conditions or (2) every Account Anniversary Date. Account Year will not change when you are upgraded from the Green Level to the Gold Level. For example, Ms. Wang creates a Starbucks Rewards Account and enters the Welcome Level on December 6, 2018, and later is upgraded to the Green Level on March 8, 2019. Then, the Account Year is a period from March 8, 2019, to March 7, 2020, and thereafter, a period from March 8 of a calendar year to March 7 of the next calendar year.
33. “Account Anniversary Date,” with respect to your Starbucks Rewards Account, means each anniversary of twelve (12) Calendar Months starting from the date when you are upgraded from the Welcome Level to the Green Level, or directly from the Welcome Level to the Gold Level. Account Anniversary Date will not change when you are upgraded from the Green Level to the Gold Level. For example, Ms. Wang creates a Starbucks Rewards Account and enters the Welcome Level on December 6, 2018, and later is upgraded to the Green Level on March 8, 2019. Then, the Account Anniversary Date is March 8 of each following year.
34. “Account Registration Date” has the meaning set forth in Section 5.1 of these Terms and Conditions.
35. “Designated Food” means certain designated food that we place and sell physically in the food cabinets of Starbucks stores (the details of which will be specified in stores). To avoid ambiguity, the following products that we sell in Starbucks stores are not Designated Foods: (1) beverages made onsite by hand according to special recipes in Starbucks stores (including but not limited to Handcrafted Beverages), (2) bottled water, juice, coffee and other prepackaged beverages, (3) moon cakes, icy dumplings, (4) whole cakes, (5) mini pastries (including but not limited to mini cakes, mini savories and French desserts, etc.) and other cake/pastry boxes, and (6) other foods which are placed outside of the food cabinets of Starbucks stores (such as lollipops, chewing gums, butter cookies, etc. that are put on the food counters and shelves).
36. “Tall” means a standard tall-size cup of a Handcrafted Beverage that is sold by Starbucks stores, which is 12 ounce.
Appendix II
Member Rewards
                  
1. Green Level Member Rewards
(1) Welcome to Green Free Drink Coupon
Pre-conditions: Unless otherwise stipulated in these Terms and Conditions, when you are upgraded from the Welcome Level to the Green Level, Starbucks will add one Welcome to Green Free Drink Coupon (in the form of an e-coupon) to your Starbucks Rewards Account within 24 hours.
Validity Period: This e-coupon will be valid for 7 days from the next day after it is added to your Starbucks Rewards Account.
Use Terms and Restrictions: During the validity period, you may use the e-coupon to redeem a complimentary Tall Handcrafted Beverage at participating Starbucks stores (excluding the Excluded Stores).
Please note that during the existence of your Starbucks Rewards Account, only one complimentary Welcome to Green Free Drink Coupon may be added to the account, unless otherwise stipulated in these Terms and Conditions.
(2) Birthday Drink Coupon
Pre-conditions: On each Account Anniversary Date after you are upgraded to the Green Level, if you have accumulated one Tier Star in your Starbucks Rewards Account through the Purchases during the preceding Account Year (excluding Bonus Stars), Starbucks will add one complimentary Birthday Drink Coupon (in the form of an e-coupon) to your Starbucks Rewards Account on the Account Anniversary Date.
Validity Period: This e-coupon will be valid for 7 days from the day of your next birthday.
Use Terms and Restrictions: During the validity period, you may use the e-coupon to redeem a complimentary Tall Handcrafted Beverage at participating Starbucks stores (excluding the Excluded Stores).
For example, Ms. Wang’s birthday is on January 5. She is upgraded to the Green Level on March 8, 2019. Her Starbucks Rewards Account accumulates one Tier Star during the period between March 8, 2019, and March 7, 2020 (i.e., during the first Account Year). Then, Starbucks will add one complimentary Birthday Drink Coupon to her Starbucks Rewards Account on March 8, 2020 (i.e., the first Account Anniversary Date). The e-coupon will be valid from January 5, 2021, to January 11, 2021.
Please note that for each calendar year, only one complimentary Birthday Drink Coupon may be added to your Starbucks Rewards Account.
(3) Taste of Gold Free Drink Coupon
Pre-conditions: After the first time you are upgraded from the Welcome Level to the Green Level, when the first time your Starbucks Rewards Account accumulates eight Tier Stars, Starbucks will add one complimentary Taste of Gold Free Drink Coupon (in the form of an e-coupon) to your Starbucks Rewards Account within 24 hours.

Pre-conditions: On each Account Anniversary Date after you are upgraded to the Gold Level, if you have accumulated one Tier Star in your Starbucks Rewards Account through the Purchases during the preceding Account Year (excluding Bonus Stars), Starbucks will add one complimentary Birthday Drink Coupon (in the form of an e-coupon) to your Starbucks Rewards Account on the Account Anniversary Date.

(3) Anniversary Drink Coupon
Pre-conditions: If you have accumulated sixteen Tier Stars in an Account Year prior to an Account Anniversary Date, Starbucks will add a complimentary Anniversary Drink Coupon (in the form of an e-coupon) to your Starbucks Rewards Account on that Account Anniversary Date.
Validity Period: This e-coupon will be valid for 7 days from the next Account Anniversary Date after it is added to your Starbucks Rewards Account.
Use Terms and Restrictions: During the validity period, you may use the e-coupon to redeem a complimentary Tall Handcrafted Beverage at participating Starbucks stores (excluding the Excluded Stores).
For example, Ms. Wang is upgraded to the Green Level on March 8, 2019. Later, she is upgraded to the Gold Level on December 25, 2019, because her Starbucks Rewards Account has sixteen Tier Stars. We will add one complimentary Anniversary Drink Coupon to her Starbucks Rewards Account on March 8, 2020 (i.e., the first Account Anniversary Date). The e-coupon will be valid from March 8, 2021, to March 14, 2021.
(4) Use of Reward Stars
Use Terms and Restrictions: You may use nine valid Reward Stars to redeem a Tall Handcrafted Beverage or a Designated Food at participating Starbucks stores (excluding the Excluded Stores).
After redemption, nine Reward Stars will be removed from your Starbucks Rewards Account. Please note that if the number of the valid Reward Stars accumulated in your Starbucks Rewards Account is more than nine, we will remove the Reward Stars in your Starbucks Rewards Account on a first-come-first-out basis.
(5) Gold Level’s Electronic Starbucks Gift Card
Pre-conditions: When first time you are upgraded to the Gold Level, a Gold Level’s Electronic Starbucks Gift Card will be automatically bundled into your Starbucks Rewards Account.
The Gold Level’s Electronic Starbucks Gift Card does not have any balance amount when it is bundled into your Starbucks Rewards Account, except where Starbucks complimentarily reloads the card with a certain amount during promotions.
Use Terms and Restrictions: You may check and use your Gold Level’s Electronic Starbucks Gift Card only by logging into your Starbucks Rewards Account through Starbucks App.
Please note that the Gold Level’s Electronic Starbucks Gift Card is subject to the Rules for Starbucks Single-Purpose Commercial Prepaid Card and the Special Provisions for the Use of Starbucks Gift Cards.

For avoidance of ambiguity, with respect to the Birthday Drink Coupon, Taste of Gold Free Drink Coupon and Anniversary Drink Coupon, the “one,” “eight,” or “sixteen” Tier Stars mentioned in the column of “Pre-conditions” above exclude the Tier Stars that have been reset to zero or have been removed due to a Purchase Cancellation.

Appendix III
MSR Cards

1.Validity Period and Use Terms and Restrictions for MSR Card Rewards

                  
(1) Buy One Beverage Get One Free Coupon
Validity Period: This e-coupon will be valid for 90 days from the date when it is added to your Starbucks Rewards Account.
Use Terms and Restrictions: Within the validity period, you may use each of the e-coupons to get one complimentary Handcrafted Beverage for each Handcrafted Beverage you Purchase at participating Starbucks stores (excluding the Excluded Stores). The complimentary beverage must be of the same or lower price as the beverage you Purchase.
                  
(2) Free Morning Beverage Coupon
Validity Period: This e-coupon will be valid for 90 days from the date when it is added to your Starbucks Rewards Account.
Use Terms and Restrictions: Within the validity period, you may use one e-coupon to get one complimentary Tall Handcrafted Beverage at participating Starbucks stores (excluding the Excluded Stores) before 11 am.
                  
(3) Free Size Upgrade Coupon
Validity Period: This e-coupon will be valid for 90 days from the date when it is added to your Starbucks Rewards Account.
Use Terms and Restrictions: Within the validity period, you may use one e-coupon to get a complimentary size upgrade for one Handcrafted Beverage from Tall (12 ounce) to grande (16 ounce) or from grande (16 ounce) to venti (20 ounce) at participating Starbucks stores (excluding the Excluded Stores).


2.Refund of MSR Cards

(1) You may request a refund only when the following conditions are met:

(a) Unless otherwise provided for some special cards, as long as the MSR Card you purchased has not been used to create a Starbucks Rewards Account or added to an existing Starbucks Rewards Account, you may return the MSR Card within one year from the date of Purchase (or the date of redemption where your MSR Card is redeemed via a redemption e-coupon).

(b) Unless otherwise provided for some special cards, for any MSR Cards you purchased at Starbucks Tmall Store, as long as you have not used any MSR Card Rewards within seven days after you receive the physical MSR Card, you may request a refund of the purchase price of the MSR Card. On the date when Starbucks successfully processes your refund request, the MSR Card will be removed from your Starbucks Rewards Account (if applicable), and the MSR Card Rewards you received (including three Buy One Beverage Get One Free Coupons, one Free Morning Beverage Coupon and one Free Size Upgrade Coupon) will also be removed. If there are multiple sets of valid MSR Card Rewards in your Starbucks Rewards Account, the set of MSR Card Rewards that are the next to expire will be removed. If the removed MSR Card is a “Live Card” and there are multiple MSR Cards under your Starbucks Rewards Account, you may not continue to use the Starbucks Rewards Account unless you select a “Dormant Card” as the “Live Card” under your Starbucks Rewards Account.

(2) To receive a refund, if the MSR Card was purchased at a Starbucks store, you must return your MSR Card (if it is a physical card), the original receipt or the tax invoice (if a tax invoice was issued) and the gifts you received with the purchase of the MSR Card (if any) to one of the participating Starbucks stores in the same city where the MSR Card was purchased; if the MSR Card was purchased from any of the other sales channels designated by Starbucks, you must return your MSR Card (if it is a physical card), the original receipt or the tax invoice (if a tax invoice was issued) and the gifts you received with the purchase of the MSR Card (if any) to the specific sales channel designated by Starbucks. Cash refunds are allowed only for the MSR Cards that are purchased with cash.

(3) If you are qualified for a refund under this section but request a refund for more than 10 MSR Cards in a single day, Starbucks may not be able to process the request in the store or through the specific sales channels designated by Starbucks and may require additional time to process the request.

3.Loss Report and Replacement of an MSR Card

(1) If your MSR Card is lost, stolen or destroyed, you may log into your Starbucks Rewards Account through the Starbucks China Official Website to report loss. Once your report is approved, the MSR Card cannot be used, and:

(a) if the lost MSR Card is an MSR Card specially designed and granted to Gold Level Members and you are a Gold Level member when you report the loss, Starbucks will generate and bundle a Gold Level’s Electronic Starbucks Gift Card into your account without charge. The card does not have any balance amount when it is bundled into your Starbucks Rewards Account; or

(b) on the premise that no Starbucks Gift Card is bundled into your Starbucks Rewards Account when you report a loss, (i) if the reported lost card is not an MSR Card specially designed and granted to Gold Level Members, or (ii) if the reported lost card is an MSR Card specially designed and granted to Gold Level Members but you are a Welcome Level or Green Level Member when you report the loss, Starbucks will generate and bundle an Electronic Starbucks Gift Card into your account without charge. The card does not have any balance amount when it is bundled into your Starbucks Rewards Account.

Please note that the Electronic Starbucks Gift Card is subject to the Rules for Starbucks Single-Purpose Commercial Prepaid Card and the Special Provisions for the Use of Starbucks Gift Cards.

Appendix IV
The Impacts on the Membership Level, Stars and Member Rewards due to a Purchase Cancellation


1.The Impact on Stars due to a Purchase Cancellation

(1) When a Purchase Cancellation occurs, based on your membership level and the method of refund, Starbucks will calculate and remove Tier Stars and Reward Stars from your Starbucks Rewards Account according to the Purchase amount and the following standards:

(a) under the circumstance that you have bundled a Starbucks Gift Card into your Starbucks Rewards Account, and Starbucks refunds the payment to the card by scanning its dynamic QR code in your Starbucks Rewards Account:

the result that the Purchase amount is divided by 40 and rounded to the fourth decimal place is the number of Tier Stars and Reward Stars that should be removed; or

(b) Under the circumstance that we refund through other methods:

the result that the Purchase amount is divided by 50 and rounded to the fourth decimal place is the number of Tier Stars and Reward Stars that should be removed.

For example, assume that Ms. Wang, a Gold Level Member, returns a tumbler in a price of RMB 130 to a Starbucks store. She paid RMB 100 by Starbucks Gift Card Mobile Pay and the remaining RMB 30 in cash. The refund amount is RMB 130. Starbucks will refund RMB 100 by scanning the dynamic QR code of the Starbucks Gift Card that has been bundled into her Starbucks Rewards Account and will refund the remaining RMB 30 in cash. Then, due to the refund, Starbucks will respectively remove 2.5 and 0.6 Tier Stars and Reward Stars from Ms. Wang’s Starbucks Rewards Account, in total 3.1 Tier Stars and Reward Stars.

(2) If the Tier Stars that shall be removed from your Starbucks Rewards Account due to a Purchase Cancellation are more than or same as the remaining Tier Stars in your Starbucks Rewards Account, the number of Tier Stars in your Starbucks Rewards Account will be reset to zero.

(3) If the Reward Stars that shall be removed from your Starbucks Rewards Account (if you are a Gold Level Member at that time) due to a Purchase Cancellation are more than the remaining Reward Stars in your Starbucks Rewards Account, the left-over Reward Stars in your Starbucks Rewards Account will turn negative in the account after the Reward Stars are removed. When you later receive Reward Stars pursuant to these Terms and Conditions, the Reward Stars you receive will be used to offset the negative number of the Reward Stars in your account.

For example, assuming in the case as described above in paragraph (1), before returning the tumbler, Ms. Wang has accumulated 2 Tier Stars and 3 Reward Stars in her Starbucks Rewards Account. Then, after Starbucks deducts 3.1 Tier Stars and Reward Stars from Ms. Wang’s account, the number of the remaining Tier Stars in Ms. Wang’s account is zero, and the number of the remaining Reward Stars is -0.1.

(4) If you have received Bonus Stars due to a Purchase (if any), when the Purchase is cancelled, Starbucks will also remove the Bonus Stars that you have received due to the Purchase.

(5) If the product you return is redeemed by Reward Stars, unless laws and regulations provide otherwise, the Reward Stars that have been removed for redeeming the product will not be returned.

2.The Impact on Membership Level due to a Purchase Cancellation

(1) Green Level Members

When the circumstance described in paragraph (a) or (b) below occurs, Starbucks may downgrade a Member from the Green Level to the Welcome Level on the day when a Purchase is cancelled:

(a) if the Member is upgraded to the Green Level pursuant to paragraph (a) of Section 7.2(1) of these Terms and Conditions, and if the Tier Stars that shall be removed from his/her Starbucks Rewards Account due to the Purchase Cancellation exceed the remaining Tier Stars in the account; or

(b) if the Member is upgraded to the Green Level pursuant to paragraph (b) or (c) of Section 7.2(1) of these Terms and Conditions, and if the Starbucks Gift Card bundled into the his/her Starbucks Rewards Account is returned.

If you are downgraded to the Welcome Level pursuant to paragraph (a) stipulated above, Starbucks will first add back to your account four Tier Stars, and then remove the number of Tier Stars that shall be removed due to the Purchase Cancellation.

For example, Mr. Zhang registers a Starbucks Rewards Account and enters the Welcome Level on December 7, 2018. Assuming he accumulates five Tier Stars on December 10, 2018, he will be upgraded to the Green Level on December 10, and four Tier Stars will be removed from his account at the same time. One Tier Star will remain in his account. On December 20, if Mr. Zhang returns the product he has Purchased, Starbucks will remove five Tier Stars from his Starbucks Rewards Account. We will downgrade him to the Welcome Level on December 20, and we will add back four Tier Stars into his account before we remove five Tier Stars.

If you are downgraded to the Welcome Level pursuant to paragraph (b) above, Starbucks will add back to your Starbucks Rewards Account the Tier Stars (if any) which were reset to zero when you were upgraded from the Welcome Level to the Green Level previously.

If you are downgraded to the Welcome Level, your Starbucks Rewards Account will accumulate the Tier Stars for every three consecutive Calendar Months from the day when you are downgraded to the Welcome Level. The accumulated Tier Stars will be reset to zero on the next day after the three consecutive Calendar Months expire.

(2) Gold Level Members

If a Purchase is cancelled during the same Account Year when you become a Gold Level Member, and if the remaining Tier Stars in your Starbucks Rewards Account are fewer than sixteen after Starbucks removes the corresponding number of Tier Stars from your Starbucks Rewards Account, you will be downgraded to the Green Level or to the Welcome Level (depending on the actual situations) on the same day when Tier Stars are removed.

3.The Impact on Member Rewards due to a Purchase Cancellation

On the premise that you have received a Welcome to Green Free Drink Coupon, Green to Gold Free Drink Coupon or Taste of Gold Free Drink Coupon, if you are downgraded from the Green Level to the Welcome Level or from the Gold Level to the Green Level due to a Purchase Cancellation, or if Starbucks removes Tier Stars from your Starbucks Rewards Account, which causes the remaining Tier Stars in your account fewer than eight as a result:

(1) under the circumstance that the relevant e-coupon is still valid and has not been used, Starbucks will remove the e-coupon from your Starbucks Rewards Account at the same time;

(2) under the circumstance that the relevant e-coupon has been used, Starbucks may, at its own discretion, deduct from your refund amount the discount amount applicable to the product you received by using the coupon:

(a) if Starbucks deducts from your refund amount the discount amount applicable to the product you received by using the coupon, you will receive such coupon again from us in the future when you are eligible for it pursuant to these Terms and Conditions; or

(b) if Starbucks fails to deduct from your refund amount the discount amount applicable to the product you received by using the coupon, you will not receive such coupon from us in the future even when you are eligible for it pursuant to these Terms and Conditions; or

(3) under the circumstance that the relevant e-coupon has expired, you will not receive such coupon from us in the future even when you are eligible for it pursuant to these Terms and Conditions.
